Sale process

FMV & ASSOCIÉS has been advising its clients from day one on the sale of all or part of their shares, or main assets of their companies.

FMV & ASSOCIÉS offers the following services :

  • Identifying the best buyer for the company (or the assets).
  • Assisting the sellers throughout the negotiation process, in order to optimize the value of their shares or assets. In this respect, a minimum "floor" price is defined with the sellers at the beginning of the process.

As a first step, FMV & ASSOCIÉS helps to compile and draw up a document describing the company and its activities : the Information Memorandum. This will customarily include :

  • A presentation of the main activities, history, shareholders.
  • An overview of the market and competitors analysis.
  • An overview of a company operations, customers & suppliers, employees.
  • Financial data analysis : balance sheet, P&L, cash flows...

This Information Memorandum is provided to acceptable potential bidders following the signature of a Non Disclosure Agreement (Confidentiality Agreement).

Thereafter, FMV & ASSOCIÉS helps to evaluate and select the best potential offers and introduces the relevant bidders to the Seller, who ultimately decides with whom it is willing to commence negotiations. This phase may possibly require the preparation, under FMV & ASSOCIÉS supervision, of a Data Room i.e a collection of the main data concerning the economic, tax, legal, social and technique matters of the company. FMV & ASSOCIÉS will then continue to advise its client during the sale process.
